SBI HOME FINANCE LIMITED

SBI Home Finance Ltd. provides long-term finance for housing in India. The company provides long-term finance to individuals, corporate bodies, promoters and developers, housing boards, and others for housing purposes. Other activities of the company include making short-term investments in units of UTI, central/state government securities, various schemes of SBI, LIC and GIC mutual funds; in treasury bills, CDs of IDBI and nationalized banks, and in commercial paper of rated companies.

HISTORY

1980:- 10,34,200 shares were allotted to SBI Capital Markets, Ltd., 10,34,200 shares to HDFC, 7,50,000 shares to UTI, 5,00,000 shares to LIC, 5,00,000 shares to GIC and its subsidiaries and 11,81,600 shares to other corporate bodies.
1987:- SBI Home Finance Ltd. was incorporated on 11th November 1987 as a Private Limited Company in the name and style of Housing Promotion Finance Corporation (P) Ltd. It was later converted into a
Public Limited Company on 23rd May 1988.

  • The Company was promoted jointly by the State Bank of India and the Housing Development Finance Corporation Ltd., for providing long term finance for housing with main thrust in the Eastern and North Eastern region.
  • The leading financial institutions viz., the LIC, UTI, GIC and its associates participated in the equity capital as was done by a few private corporate bodies. It was promoted mainly with the objective of providing long term housing finance for purchase or construction of housing units especially in Eastern and North Eastern parts of India. The Company provides long-term finance for housing in India to individuals, Corporate Bodies, promoters and developers, Housing Boards, etc.
  • Other activities include making short-term investments in Units of UTI, Central State Government securities, various schemes of SBI, LIC and GIC Mutual Fund; in treasury bills, CDS of IDBI and nationalised banks etc; in Commercial paper of rated Companies.

1991 – The name of the Company was changed from Housing Promotion & Finance Corporation, Ltd., to SBI Home Finance limited with effect from 11th April.
1992 – Authorise capital reclassified 14,67,500 Rights equity shares issued at par in prop. 1:2 to shareholders other than SBI Capital Markets, Ltd. or its nominees and HDFC.
1993 – The objects of the public issue of capital made during February were to arrange long term resource requirements and to meet working capital needs of the Company. In addition, the issue was made to enhance the Net Owned Funds of the Company.

  • – 85,32,500 No. of equity shares were issued at par out of which 28,67,500 shares to SBI Capital Markets, Ltd. or its nominee State Bank of India and 10,67,500 shares to HDFC were reserved and allotted on firm basis. Out of the remaining 45,97,500 shares to HDFC were reserved and allotted on a firm basis. Out of the remaining 45,97,500 shares, 5,00,000 shares were reserved for preferential allotment to employees etc. of the company and those of promoter companies (only 1,87,800 shares taken up). The balance 40,97,500 shares along with 3,12,200 shares not taken up by employees were offered to the public in February 1993. (All were taken up).

1996:- The Company proposed to diversify into the business of providing loans for long term purchase of plots, construction/purchase of commercial permises and other financing activity ancillary to housing.
2000:- Issue of 2,50,00,000 No. of equity shares to institutional shareholders on preferential basis.

  • The Company issue 25,00,000 preference shares of Rs. 100 each on private placement basis.
  • The Company has chalked out a major branch expansion drive to strengthen its marketing activities and network in South India.
  • SBI Home Finance Ltd has appointed C Narasimhan as Managing Director with effect from 31st October.

2001:- SBI Home Finance Ltd. the housing finance affiliate of State Bank of India, has introduced a unique scheme for VRS takers.

  • SBI Life Insurance on September 19 launched two new single premium products, and plans to come out with couple of more schemes by this month end
  • Ordinary shareholders of SBI Home Finance Ltd (SHFL), at the 13th annual general meeting held here on September 22, authorised the company’s board to issue and allot fresh equity shares to an extent of Rs. 85 crore with a face value of Rs 10 each.

2002:- The Board of Directors of SBI Home Finance Ltd has appointed Shri P K Bhattacharjee, as Director & Chairman on the Board of SBI Home Finance Ltd.

  • SBI Home Finance Ltd has informed that Shri D Chatterji has ceased to be a Director on the Board of SBI Home Finance Ltd with effect from December 14, 2002.

2003:- SBI Home Finance Ltd has informed BSE that at its meeting held on February 19, 2003 that the Board of Directors appointed Mr G Padmanabhan as Managing Director of the company vice Mr. C Narasimhan who has been relieved from his responsibilities as Managing Director of the company w.e.f February 19, 2003. Further, Mr. Asish K Bhattacharya has also been inducted as a Director on the Board of the company with effect from February 19, 2003.

  • SBI Home Finance Ltd has informed that at its meeting held on November 28, 2003 the BOD have approved the release of Mr. P K Chakravarty, Asst. Gen. Manager & Company Secretary w.e.f. November 01, 2003 who has voluntarily retired from the services of the company. Mr. S Bhattacharjee practising Company Secretary has been engaged by the Company as a Consultant on a part time basis to look after its Secretarial Affairs till such time a new Company Secretary is appointed.
  • SBI Home Finance Ltd has informed that at its meeting held on November 28, 2003 the BOD have appointed Mr. Indrajit Gupta and Mr. Chandan Bhattacharya as Directors of the company vice Mr. D P Roy and Mr. KSV Krishnamachari who ceased to be Directors on the Board of SBI Home Finance Ltd w.e.f. October 23, 2003.

2004:- Sbi Home Finance Ltd has informed that Shri Chandan Bhattacharya and Shri K C Mehra have ceased to be Directors on the Board of SBI Home Finance Limited wef January 08, 2004 and December 23, 2003 respectively.

2006:- Registered Office of the Company has been shifted from Nagaland House, 11 & 13, Shakespeare Sarani, Kolkata – 700071 to Jeevandeep Building, 4th floor, 1, Middleton Street, Kolkata 700 071

2007:- Sbi Home Finance Ltd has informed that Shri Manab Ray Chaudhuri who retired by rotation at the Annual General Meeting held on June 06, 2007 has been re-appointed as Director of the Company at the same Annual General Meeting.

  • -SBI Home Finance Ltd has appointed Shri. G I Mondal as Managing Director of the Company w.e.f. December 19, 2007.

2008:- Sbi Home Finance Ltd has appointed Shri G.I.as Managing Director of the company w.e.f., 19th December , 2007.
